Service Agreement
Between Dot-Engee Web Hosting Company and Customer
This Service Agreement (“Agreement”) is entered into between Dot-Engee Web Hosting Company (“Dot-Engee,” “we,” “our,” or “us”) and the customer (“Client,” “you,” or “your”) for the provision of web hosting and related services.
1. Scope of Services
Dot-Engee agrees to provide:
- Web hosting services, including server space, bandwidth, and technical support.
- Domain registration and management (if applicable).
- Email hosting and related features.
- Security measures such as SSL certificates, firewalls, and backups.
2. Term & Renewal
- The initial term of this Agreement begins on the Effective Date and continues for the subscription period selected by the Client.
- Services automatically renew unless canceled in writing at least 7 days before the renewal date.
3. Fees & Payment
- Fees are payable in advance according to the selected hosting plan.
- Late payments may result in suspension of services.
- All fees are non-refundable except as required by law or under Dot-Engee’s refund policy.
4. Client Responsibilities
The Client agrees to:
- Provide accurate registration and billing information.
- Use services in compliance with Nigerian law, NDPA (2023), and international standards.
- Avoid hosting illegal, harmful, or infringing content.
- Maintain backups of website data (Dot-Engee provides backups but does not guarantee full restoration).
5. Dot-Engee Responsibilities
Dot-Engee will:
- Provide reliable hosting services with 99.9% uptime (excluding scheduled maintenance).
- Implement reasonable security measures to protect Client data.
- Offer technical support via email, phone, or ticketing system.
6. Data Protection & Privacy
- Dot-Engee processes personal data in compliance with the Nigeria Data Protection Act (NDPA, 2023).
- Client data will not be sold or shared except as required by law or with trusted service providers.
- Clients retain ownership of their website content.
7. Service Availability & Maintenance
- Dot-Engee may perform scheduled maintenance, with prior notice where possible.
- Emergency maintenance may occur without notice to protect system integrity.
8. Limitation of Liability
- Dot-Engee is not liable for indirect, incidental, or consequential damages.
- Maximum liability is limited to the amount paid by the Client for the service in the preceding 3 months.
9. Termination
- Either party may terminate this Agreement with written notice.
- Dot-Engee may suspend or terminate services immediately if the Client violates this Agreement or applicable laws.
10. Governing Law & Dispute Resolution
- This Agreement is governed by the laws of the Federal Republic of Nigeria.
- Disputes will first be resolved amicably; if unresolved, they shall be submitted to arbitration in Abuja under the Arbitration and Conciliation Act.
11. Entire Agreement
This Agreement constitutes the entire understanding between Dot-Engee and the Client, superseding all prior discussions or agreements.
